  。EmploymentPeriod
  Article1TheemployedemployeeagreestoreportforworkonJuly14,2003。TheemployedemployeevoluntarilyagreestoacceptallemploymentcontentsaswellasresponsibilitiesandobligationsspecifiedintheAgreement。TheAgreementisequivalenttoanopenendedcontract。
  Article2Theinitial3consecutivemonthoftheemploymentperiodofthefirstlyemployedemployeeshallbeforprobation,duringwhicheitherPartyhasrighttoterminatetheemploymentrelationwithgiving7daypriornoticetotheotherPartypursuanttorelevantregulations。Afterthecompletionofprobationperiod,ifanyPartywouldliketoterminatetheemploymentrelation,noticeshallbegiventotheotherPartyonemonthinadvance。
  Theemployee,whiledesigning,shallreturnallitemsandpropertiesownedbythecompany,suchasentrancecard,bankcreditcard,thecompany’sconfidentialdocumentsorcopiedones。WhentheemployeedisobeystheabovementionedregulationsduringtheterminationoftheContract,thecompanywillremaintherighttoaskforclamsordeductfromthecompany’sduepaymenttohim。
  Article3OnlywhenthePartyBpassesthestipulatedphysicalexaminationitemsinthehospitaldesignatedbythePartyA,ishequalifiedtobetheformalcontractingsystememployee。
  。WorkContent
  Article4Theemployeeagrees,basedonthecompany’sworkarrangement,toholdthepostofSoftwareEngineerattheClientServerDevelopmentStorageOfficeinBeijing。
  。LaborProtectionandWorkingConditions
  Article5AllprovisionshereundershallbereferredtoasandexecutedasperLaborLawofthePeople’sRepublicofChina。
  。Compensation
  Article6TheemployeeshallbepaidthewagesinRMBcurrency(stateappropriateintervals:monthly)。Theemployee’smonthlysalarytotalsum(beforetax)includesvarioussubsidiesandallowancesstipulatedbythecountry’slawsandregulations。Atpresent,thesalaryconsistsofasfollows:
  (1)B(monthlysalarytotalsumminusallowances)
  (2)Theannualsalescommissionawardorbonus(determinedbythebusinesssectorwithseparatewrittennoticeandreportedtopersonnelsectorfortherecord)。SeethedetailedemployeemonthlyyearlysalarytotalsumintheEnglishversioncompensationpaymentagreement。
  Article7InaccordancewithChineselaws,theemployeeshallundertakehisindividualincometaxathisexpenseandthecompanyactsasthewithholdingagent。Thecompanycalculatesitsemployee’sindividualincometaxpayableaspermonthanddeductsthisamountoftaxandsubmitstotheNationalTreasurybeforeprovidingmonthlygrosssalary。
  V。SocialInsuranceandWelfare
  Article8BoththecompanyandtheemployeeshalljointlyundertaketheemployeeendowmentInsurance,unemploymentinsurance,andmedicaloverallinsuranceforcriticalillnesspursuanttonationalandlocalsocialinsurancerelativeprovisions。Fortheexpenseslikethepersonalaccidentinsurance,housingprovidentfundstipulatedbythegovernmentandothersocialinsurances,welfareandfeespaidbythelocalforeigninvestedserviceenterprisesappointedbythecompanyforitsemployees,seedetailsinTheForeigninvestedCompaniesServiceGuideorregionalforeigninvestedserviceenterprisesappointmentagreementorinstruction。
  Article9Ontheconditionthattheemployeeshavediseaseorgetinjuredinlineofduty,theirsickleavesalaryandhealthcaretreatmentshallbeexecutedaccordingtonationalandlocalrelatedregulationsandconcernedsystemsintheEmployeeHandbook。
  。VacationHoliday
  Article10Theemployeehastherighttoenjoythestatuaryholidaysasperthenationalregulations。Asfortheotherrelevantholidays,thecompanyshallexecuteincompliancewithnationalandlocalrelatedregulationsandEmployeeHandbook。
  Article11Accordingtothecompany’sstipulation,theemployeewillbeentitledto12dayfullpaidannualleave。Whentheemployeeworksforsixmonths,hecanapplyforannualleave。Aftertheapprovalofsectormanager,hisvacationdayswillbecumulativelycalculatedconformingtohisservingmonthsinthecompany,i。e。,onemonthservicemeansonedayoff。
  IftheemployeesubmitstheresignationorterminatestheContractintheinitialconsecutivesixmonthsinhisfirstemploymentyear,heshallnotenjoythepaidleavebenefits。
  。WorkDiscipline
  Article12Theemployeeshallrestrictivelyabidebythecompany’sprovisionsonworksafety,sanitation,productionandsoon,completetheobjectivesandtargetsontimemadebyhissectorsorthecompanyinvariousperiod,adheretotheproductionprocess,operationstipulationandscopeofwork,andsafeguardthepropertiesofthecompany,observeprofessionalethics,obeythesuperior’sreasonableandlawfulmanagementanddirectives。
  Article13Theemployeeshallmakegreateffortsonhisdutifulwork,takehisdueresponsibilities,workdiligentlyandcontinuouslymakebreakthroughprogressinhiswork。Atanytimeshallheunderscorethecoreinterestofthecompanyandcontributetothecompany’sgrowth。Duringtheworktime,theemployeeshallmakefullyutilizeandusetimeatthemaximumandconsistentlyboosttheworkingefficiency。
  Article14Theemployeeshallcomplywiththepoliciesandprovisionsmadebythecompanyinvariousperiodduringhiswork,visitingtheclientsandbusinessnegotiations,whichshallbebroughtintocorrespondencewiththemaximuminterestsofthecompany。
  。Confidentiality
  Article15Duringhisworkperiodorafterresignation,theemployeeshallvoluntarilyabidebytheprofessionalethicsandbusinesscommunicationprinciplesstipulatedbythecompanyandrestrainthemselves。Theemployeeshallnotdiscloseanybusinesssecretsorconfidentialinformationcollectedduringhisworktoanyperson。
  Article16Withoutpermission,Theemployeeshallnotcopythecompany’ssoftwaretononstafforuseanynonauthorizedsoftwareinthecompany。
  Article17Underanydirectorindirectcircumstance,Theemployeeshallneitherdisclosehisindividualwageandcompensationtohiscolleaguesorthethirdparty,norinquireabouthiscolleagues’。
  Article18Fortheemployeesdisobeyingthelabordisciplineortheaboverestrictions,thecompanycantakedisciplinaryactionincompliancewiththeEmployeeHandbook。Thosewithseriousviolationshallbedismissed。
  。EmployeeBusinessTripManagement
  Article19Theemployeewillbeassignedtootherplacesorforeigncountriesonbusinessbasedonhispostsandresponsibilities。SeedetailedrulesintheEmployeeHandbook。
  。EmployeeTraining
  Article20Withinthedurationofthecontract,theemployeecanaccepttrainingpaidbythecompany。Thecompanyrequirestheemployeesigningthetrainingagreementwithitandmakessunanappointmentthatduringserviceperiod,iftheemployeeviolatesthecontractandasksforterminatingthecontract,theemployeeshallcompensateforthetrainingfee。SeedetailedTrainingAgreement。
  。Alteration,TerminationandRenewaloftheEmploymentContract
  Article21Ifthelaws,administrativeregulationsandspecificationswhichareasthebasisofthecontracthavesomechanges,thecontractshallmodifythecorrespondingitems。
  Articles22TheeconomiccompensationandindemnityresultedfromdisobedienceandterminationofthecontractshallbeimplementedinaccordancewithLaborLawofthePeople’sRepublicofChina。
  Article23OntheconditionsthatthePartyBretiresorresignsfromofficetheterminationifsoccuragreedbythecontract,thecontractautomaticallyends。
  。Otheritems
  Article24AlltheotheritemsunmentionedinthecontractshallbedealtwithasperLaborLawofthePeople’sRepublicofChina,theEmployeeHandbook,theEmployeeConfidentialityAgreement,theTrainingAgreement,etc。
  Article25IfthePartiesconflictslabordisputes,anyPartycouldhandlesuchissuesasperrelatednationalandBeijingMunicipalitylabordisputeprocedures。
  Article26Oncelabordisputeshappens,theywillbedealtwithpursuanttorelatedregulationsinLaborLawofthePeople’sRepublicofChina,theEmployeeHandbook,theTrainingAgreement,etc。
  TheEnglishversionContractismadebasedontheChineseversion。ThisEmploymentContractissignedintwo(2)originalswiththeequivalentlegalvalidity,theEmployerkeepsone(1),andtheEmployeekeepsone(1)。
